These Terms & Conditions (the "Terms") are the master agreement between you and GreenApps Private Limited ("GreenApps", "we", "us", "our"), a company incorporated in Singapore with its registered office at 20 Collyer Quay #09-01, Singapore 049319, which operates the Dona platform. They govern your access to and use of the Dona marketplace and live-video shopping service at https://dona.uz and the Dona mobile applications for iOS and Android (application id im.dona.app). Dona is an intermediary marketplace: independent third-party Sellers list products, broadcast live and sell to Buyers, and in most cases Dona is not the seller and not a party to the sale contract. These Terms are provided for transparency and to set out the rules of the platform. They do not override or limit the mandatory rights you have under the laws of the Republic of Uzbekistan, including consumer-protection and personal-data law, which continue to apply to you and prevail over anything inconsistent here.
1. Who we are and how to contact us
The Dona platform is operated by GreenApps Private Limited, a company incorporated in Singapore, registered office 20 Collyer Quay #09-01, Singapore 049319.
For any enquiry — general, privacy, legal, intellectual-property or infringement, safety, or a complaint — contact us at hello@dona.uz with a clear subject line, or write to us at the Singapore address above. We aim to respond within a reasonable time.
These Terms are effective from, and were last updated on, the date shown above. When we make material changes we will update this page and, where appropriate, notify you in the app or by other reasonable means; the "last updated" date always reflects the current version.
2. Acceptance and eligibility
By creating a Dona account, accessing or using the platform, or placing or fulfilling an order, you agree to these Terms. If you do not agree, do not use Dona.
To use Dona you must:
- be at least the minimum age required by applicable law and have the legal capacity to enter into a binding contract;
- register with a valid mobile phone number that we verify by a one-time code (OTP); and
- provide accurate registration information and keep it up to date.
If you use Dona on behalf of a business (for example as a Seller that is a registered company or individual entrepreneur), you confirm that you are authorised to bind that business, and "you" includes that business.
3. Definitions
In these Terms:
- Dona / platform — the marketplace and live-video shopping service operated by GreenApps, including the website and the mobile apps.
- Buyer — a user who browses, orders or buys products on Dona.
- Seller — an independent third party (an individual or a registered business) that lists products, goes live and sells on Dona.
- User / you — any person who accesses or uses Dona, whether as a Buyer, a Seller, or both.
- Product — a good or item listed for sale by a Seller.
- Order — a Buyer's request to purchase one or more Products.
- Sale contract — the contract of sale formed directly between a Buyer and a Seller.
- Content / UGC — user-generated content such as live video, chat messages, reactions, reviews, images and other material submitted to the platform.
- Wallet, coins, reward vouchers — the in-app balances and rewards described in these Terms.
4. The marketplace model — Dona's role
Dona is an electronic marketplace and intermediary. We provide the technology that lets Sellers list Products, broadcast live and reach Buyers, and that lets Buyers discover, order and pay for Products.
Unless a listing or these Terms expressly state that Dona (or a GreenApps entity) is the seller, Dona is not the seller of the Products and is not a party to the sale contract between Buyer and Seller. The sale contract is formed directly between the Buyer and the Seller.
Sellers are solely responsible for their listings and live broadcasts, including the accuracy of descriptions, images, pricing, availability, product quality, safety, legality, packaging, invoicing, warranties, and delivery. We do not manufacture, own, inspect or take possession of most Products.
We may provide supporting services — such as search and discovery, live-streaming tools, payment facilitation through licensed providers, order tracking, delivery coordination with partners, and customer support — but doing so does not make us the seller or a party to the sale contract.
Your use of the platform is also subject to our related policies, which form part of your agreement with us, including the Privacy Policy, Cookie Policy, Acceptable Use Policy, Community Guidelines, Safety & Harmful Content Policy, Intellectual Property & Infringement Policy, Seller Agreement, Payments & Refunds Policy, Delivery & Order Management Policy, Account Management & Deletion Policy and Prohibited & Restricted Items Policy.
5. Your account — registration and security
You register for Dona with your phone number, which we verify by a one-time code (OTP). One account may act as both a Buyer and a Seller. You are responsible for all activity that takes place under your account.
You agree to:
- keep your phone number, OTP, device and any credentials secure and not share them;
- notify us promptly at hello@dona.uz if you suspect unauthorised access to your account; and
- provide accurate information and update it when it changes.
We may suspend, restrict or close accounts as described in these Terms and in the Account Management & Deletion Policy, which also explains how you can manage, deactivate or delete your account and what happens to your data. How we handle your personal data is described in the Privacy Policy.
6. The sale contract between Buyer and Seller
When a Buyer places an Order and it is accepted by the Seller (or by our systems on the Seller's behalf), a sale contract is formed directly between the Buyer and the Seller, on the terms shown at the point of sale and as required by applicable law.
The Seller is the counterparty for that contract and is responsible for supplying the Product, issuing any required documents or receipts, honouring warranties, and handling returns, exchanges and refunds in accordance with the law. Dona is not that counterparty except where a listing expressly states otherwise.
Because Dona operates as an electronic marketplace, Sellers must provide clear, accurate and complete information about their Products, prices and terms in an appropriate language, as required by the Law of the Republic of Uzbekistan "On Electronic Commerce" and the Law "On Protection of Consumers' Rights".
7. Orders, pricing, availability and payment
Product descriptions, prices, delivery fees and availability are shown in the app and set by the Seller (or shown at checkout). Prices are in Uzbek so'm (UZS) and, where applicable, include or state taxes and delivery fees as shown at checkout.
Listings and live offers are invitations to purchase; a contract forms only when your Order is accepted. If a Product is unavailable, mispriced due to an obvious error, or cannot be supplied, the Order may be cancelled and any amount you paid for it refunded in accordance with the Payments & Refunds Policy.
Payment methods
Payments are processed by licensed third-party payment providers, including Payme, Click, ATMOS (in-app UzCard/Humo card payment), UzCard and Humo, and by cash on delivery where available. You may also use your in-app wallet, coins and reward vouchers as described below.
Full card details are handled by the licensed payment providers and are not stored by Dona. Payments are provided in line with the Law of the Republic of Uzbekistan "On Payments and Payment Systems". Fees, timing, refunds and reversals are described in the Payments & Refunds Policy.
8. Delivery
Products are delivered across Uzbekistan through courier and delivery partners. The delivery method, estimated time and fee depend on the region and the Seller and are shown at checkout. Buyers can track their Orders in the app.
Responsibility for preparing, packaging and handing over Products for delivery rests with the Seller. Risk and title pass as required by applicable law and the terms of sale. Full details — including timing, tracking, failed deliveries, and what to do if a Product arrives damaged or incorrect — are set out in the Delivery & Order Management Policy.
9. Returns, refunds and your consumer rights
If you are a consumer in Uzbekistan, you have mandatory rights under the Law of the Republic of Uzbekistan "On Protection of Consumers' Rights" and the Law "On Electronic Commerce" that cannot be waived and that prevail over anything inconsistent in these Terms.
These typically include:
- the right to accurate information about the Product and the seller in an appropriate language;
- the right to return or exchange a proper-quality non-food good within the period required by the applicable consumer-protection law, provided the good is unused, retains its presentation and original packaging, and you can show proof of purchase (some categories are excluded by law);
- remedies for defective goods — such as repair, replacement, a price reduction or a refund — within the periods and on the conditions set by law.
Because the Seller is the counterparty to the sale contract, returns, exchanges and refunds are generally handled by the Seller, with Dona facilitating the process. How to start a return or refund, the timelines and how money is returned are described in the Payments & Refunds Policy and the Delivery & Order Management Policy. Nothing in these Terms removes or reduces your statutory consumer rights.
10. Live streaming and user content
Sellers can broadcast live video, and users can post chat messages, reactions, reviews and other content (UGC). You are responsible for the content you submit and must have the rights to submit it. Content must comply with these Terms, the Acceptable Use Policy, the Community Guidelines and the Safety & Harmful Content Policy.
Content on Dona is subject to moderation. We may review, refuse, remove, restrict or take down content, and may limit or suspend live-streaming, where content appears to breach these Terms or the law, without this obligating us to monitor all content.
Licence you grant us
By submitting content to Dona, you grant GreenApps a non-exclusive, worldwide, royalty-free, sub-licensable and transferable licence to host, store, reproduce, adapt (for formatting and technical purposes), publish, display, distribute and otherwise use that content for the purpose of operating, providing, promoting and improving the platform, for the duration allowed by law. You retain ownership of your content. This licence continues to the extent needed for backups, records, legal compliance and content others have already interacted with, even after you remove content or close your account.
11. Acceptable use
You must use Dona lawfully and respectfully. You must not, among other things:
- break any applicable law or the mandatory rules on restricted or prohibited goods (for example weapons, drugs and precursors, restricted alcohol and tobacco, medicines, counterfeit goods);
- post unlawful, fraudulent, misleading, infringing, abusive, harassing or harmful content;
- interfere with, disrupt, reverse engineer, scrape or attempt to gain unauthorised access to the platform;
- impersonate others, manipulate reviews or ratings, or engage in unfair or deceptive commercial practices.
Detailed rules are in the Acceptable Use Policy, Community Guidelines and Safety & Harmful Content Policy. What may and may not be listed or sold is set out in the Prohibited & Restricted Items Policy.
12. Intellectual property
The Dona name, brand, logos, software, design, text, graphics and other platform materials are owned by GreenApps or its licensors and are protected by intellectual-property law. Except as allowed by these Terms or by law, you may not copy, modify, distribute, sell or create derivative works from them.
You must respect third-party intellectual-property rights, including the rights of Sellers, brand owners and other users. If you believe content on Dona infringes your rights, or you receive a complaint about your content, follow the process in the Intellectual Property & Infringement Policy. We may remove infringing content and take action against repeat infringers.
13. Seller-specific terms
If you sell on Dona, additional terms apply to you under the Seller Agreement, which forms part of your agreement with us. Among other things, Sellers are responsible for the legality, safety, accuracy and quality of their Products and listings, for pricing and taxes, for issuing required documents, for delivery, and for handling consumer returns, exchanges, warranties and refunds in accordance with the law.
Dona may charge commissions and fees for use of the marketplace; the applicable commission is the one shown in your Seller dashboard and in the Seller Agreement and Payments & Refunds Policy. Payouts to Sellers are made through licensed payment providers on the terms described there.
14. Wallet, coins and reward vouchers
Dona may offer an in-app wallet, coins and reward vouchers that you can earn or use within the app (for example through live-shopping engagement and promotions).
Coins and reward vouchers have no cash value, are non-transferable and are not redeemable for cash, except where the law requires otherwise. They may be subject to expiry, usage limits and other conditions shown in the app, and may be adjusted or withdrawn where obtained by error, fraud or abuse. How the wallet, coins and vouchers interact with payments and refunds is described in the Payments & Refunds Policy.
15. Third-party services and payment providers
Dona relies on third parties, including licensed payment providers (Payme, Click, ATMOS, UzCard, Humo), courier and delivery partners, and cloud-infrastructure providers. Your use of those services may be subject to their own terms.
Dona runs on cloud infrastructure that may be located outside Uzbekistan (for example in the EU), with security safeguards; the licensed payment providers process card data separately. Where personal data of users in Uzbekistan is processed, we handle it in line with the Law of the Republic of Uzbekistan "On Personal Data", including in relation to the localisation of citizens' data and international transfers with appropriate safeguards; details, and your rights, are in the Privacy Policy. We are not responsible for the acts or omissions of independent third parties beyond our control, but this does not limit your mandatory rights under Uzbek law.
16. Disclaimers and limitation of liability
To the fullest extent permitted by applicable law, the platform is provided "as is" and "as available", and we do not guarantee that it will be uninterrupted, error-free or secure, or that Products offered by Sellers will meet your expectations. As an intermediary, we are not responsible for the Products themselves or for the performance of the sale contract by Sellers or Buyers, except where a listing states that Dona is the seller.
To the fullest extent permitted by applicable law, GreenApps is not liable for indirect, incidental, special or consequential loss, and our aggregate liability arising out of or in connection with the platform is limited to the extent permitted by law.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, and nothing removes or reduces the mandatory consumer-protection rights of users in Uzbekistan. Those rights prevail over these disclaimers.
17. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless GreenApps and its affiliates, and their officers and employees, from claims, losses, liabilities and reasonable costs arising out of your breach of these Terms or the related policies, your content, your Products (if you are a Seller), or your unlawful or infringing use of the platform. This does not apply to the extent a loss is caused by us or cannot be indemnified under applicable law.
18. Suspension and termination
You may stop using Dona at any time and may deactivate or delete your account as described in the Account Management & Deletion Policy.
We may suspend, restrict or terminate your access to all or part of the platform — with or without notice where the law allows — if you breach these Terms or our policies, if required by law or a competent authority, to protect users or the platform, or in cases of fraud, abuse or safety risk. Where the law requires notice or a cure period, we will provide it. Suspension or termination does not affect rights or obligations that arose before it, including outstanding orders, payments, and your mandatory consumer rights.
19. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes in the platform, our policies or the law. When we make material changes, we will update this page and, where appropriate, notify you in the app or by other reasonable means. The "last updated" date at the top shows the current version. Your continued use of Dona after changes take effect means you accept the updated Terms; if you do not agree, you should stop using the platform.
20. Governing law, disputes and complaints
These Terms and the corporate relationship between you and GreenApps are governed by the laws of Singapore, and the courts of Singapore have jurisdiction over disputes relating to that relationship.
However, the mandatory consumer-protection and personal-data provisions of the laws of the Republic of Uzbekistan apply to users in Uzbekistan and prevail over any inconsistent term. This choice of law does not deprive you of the protection of those mandatory rules, and you may have the right to bring proceedings before, or complain to, the competent courts or the consumer-protection authority of the Republic of Uzbekistan.
If you have a problem, please contact us first at hello@dona.uz so we can try to resolve it. You can also raise issues with the relevant Seller through the app. Nothing here limits your right to seek help from the competent Uzbek authorities or courts.
