Seller Agreement

This Seller Agreement (the "Professional Agreement" or "Agreement") is the professional contract between GreenApps Private Limited ("GreenApps", "Dona", "we", "us", "our"), a company incorporated in Singapore with its registered office at 20 Collyer Quay #09-01, Singapore 049319, and any person or business that registers to sell on the Dona marketplace and live-video shopping platform ("Seller", "you", "your"). It governs how you list products, go live, take orders and receive payouts on Dona (website https://dona.uz; apps for iOS and Android, application id im.dona.app).

This Agreement applies to every Seller operating in Uzbekistan. It supplements, and should be read together with, our Terms & Conditions, Payments & Refunds Policy, Delivery & Order Management Policy, Prohibited & Restricted Items Policy, Acceptable Use Policy, Community Guidelines, Safety & Harmful Content Policy, Intellectual Property & Infringement Policy and Privacy Policy. It is provided for transparency and does not override the mandatory rights and obligations that apply under the laws of the Republic of Uzbekistan, including consumer-protection, electronic-commerce, payments and personal-data law. Where this Agreement conflicts with those mandatory rules for users in Uzbekistan, the mandatory rules prevail.

It is effective from the date shown above.

1. Who Can Be a Seller

To register and sell on Dona you must be either an individual who meets the minimum age required by applicable law, or a duly registered business or entrepreneur. By accepting this Agreement you confirm that you have the legal capacity and authority to enter into it, and — where you act for a business — that you are authorised to bind that business.

2. The Seller–Dona Relationship

Dona is an intermediary electronic marketplace that connects independent Sellers with Buyers and provides tools for listing, live-video selling, order management and payment facilitation. Dona is generally not the seller of your products and is not a party to the sale contract between you and the Buyer, except where we expressly state otherwise for a specific item or programme.

You sell in your own name and on your own account. As the Seller, you are responsible for your listings, product quality, descriptions, pricing, availability, packaging, fulfilment, after-sales service and for honouring Buyers' rights under applicable law. Nothing in this Agreement creates a partnership, joint venture, agency (beyond the limited payment-collection role described in the Payments & Refunds Policy), or employment relationship between you and Dona. You act as an independent business.

You must comply with this Agreement, all policies referenced in it, the reasonable operational instructions we publish in the Seller dashboard, and all applicable laws.

3. Listing and Content Standards

Each listing must be accurate, lawful and not misleading. You are responsible for all content you publish, including titles, descriptions, images, video, specifications, pricing and stock levels.

4. Going Live and Seller Conduct

Live video is central to Dona. When you broadcast, you are responsible for everything shown and said in your stream, in the on-screen product pins, and in your interaction with viewers.

  • Present products honestly; do not make false, exaggerated or unsubstantiated claims, and do not stage misleading demonstrations.
  • Follow our Community Guidelines and Safety & Harmful Content Policy: no hateful, violent, sexual, deceptive or otherwise prohibited content, and no unsafe activities on stream.
  • Comply with advertising and competition law, including honest pricing and honest comparisons, and clearly identify paid promotions where required.
  • Moderate the chat under your stream reasonably and respect Buyers; abusive or harassing conduct towards Buyers or Dona staff is not permitted.

Your streams, chat, reactions and other user-generated content are subject to moderation. We may interrupt, end, hide or remove a broadcast or content that breaches this Agreement or our policies, and may act to protect users, comply with the law or preserve the integrity of the platform.

5. Pricing, Orders and Fulfilment

You set your own prices in UZS, subject to applicable law and to any pricing rules published in the Seller dashboard. Prices, delivery options and any applicable charges must be shown clearly to the Buyer before checkout.

Payment for orders is collected through licensed third-party payment providers (Payme, Click, ATMOS in-app UzCard/Humo card payment, UzCard, Humo), cash on delivery where available, and the in-app wallet (coins and reward vouchers). Full card details are handled by the licensed providers and are not stored by Dona.

6. Commission and Fees

In consideration for the marketplace, live-commerce, payment-facilitation and related services, you agree to pay Dona a commission and any other fees applicable to your sales.

  • Commission is charged per category and is shown in your Seller dashboard for each product or category. We do not state a fixed percentage in this Agreement; the applicable rate is the commission shown in your dashboard at the time of sale, and the platform snapshots that rate for each completed order.
  • We may also charge service, promotional, live-boost or payment-processing fees where you opt into them or where they apply to a feature you use; these are disclosed before you incur them.
  • Any taxes applicable to our fees are handled in accordance with applicable law. Commission and fees are deducted from your sale proceeds as described in the payouts section below.
  • We may change commission and fees prospectively as described in the "Changes to this Agreement" section; changes do not apply retroactively to orders already completed.

7. Payouts and Settlement

When an order is successfully completed, the net sale proceeds — the Buyer's payment less the applicable commission, fees, and any refunds, returns, chargebacks or adjustments — are credited to your Seller balance.

8. Returns, Refunds and Buyer Protection

You must honour the return, exchange and refund rights that Buyers have under the law of the Republic of Uzbekistan and under our published policies.

  • Proper-quality goods: Buyers may return or exchange proper-quality non-food goods within the period required by the applicable consumer-protection law, subject to statutory conditions (unused, retaining their presentation and original packaging, with proof of purchase), unless the goods are of a category that the law excludes from return.
  • Defective goods: for goods that are defective or not as described, Buyers are entitled to the remedies required by law, which may include repair, replacement, price reduction or refund. You must handle these fairly and promptly.
  • You must cooperate with the return, refund and dispute-resolution flows described in the Payments & Refunds Policy and the Delivery & Order Management Policy, and act on decisions reached under them.

Where Dona operates a buyer-protection or dispute-resolution mechanism, you agree to participate in good faith. Amounts refunded to Buyers are reconciled against your balance as described above.

9. Consumer-Law Compliance

As the seller of record to the Buyer, you are responsible for complying with the mandatory consumer-protection requirements of the Republic of Uzbekistan, including the Law "On Protection of Consumers' Rights" and the Law "On Electronic Commerce".

  • Provide accurate, complete pre-contract information to Buyers in an appropriate language.
  • Do not use unfair contract terms or unfair, misleading or aggressive commercial practices.
  • Honour statutory return, exchange, warranty and refund rights; these mandatory rights cannot be waived and prevail for Buyers in Uzbekistan.
  • Comply with rules on advertising, pricing, guarantees, safety and product labelling that apply to your goods.

You are responsible for any consumer claim arising from your goods, listings, statements or conduct, and you will keep Dona informed of, and cooperate on, any consumer complaint or regulatory enquiry relating to your sales.

10. Intellectual Property Warranties

You warrant that you own, or are properly licensed to use, all intellectual property in the products you sell and in the content you publish (including trademarks, images, video, text and designs), and that your listings, streams and sales do not infringe the rights of any third party.

  • Do not sell counterfeit, pirated or unlawfully branded goods, and do not use another party's trademark or copyrighted material without authorisation.
  • You grant Dona a non-exclusive, royalty-free licence to host, display, reproduce, adapt (for formatting and promotion) and distribute your listings and stream content on and in connection with the platform, for as long as reasonably necessary to operate and promote the service.
  • Rights-holder complaints and takedown/counter-notice procedures are handled under the Intellectual Property & Infringement Policy. Repeated infringement may lead to suspension or termination.

11. Data Protection

In fulfilling orders you will receive limited personal data about Buyers (such as name, delivery address and contact details). You must:

  • process that data only for the purpose of fulfilling, delivering and servicing the specific order, and for meeting your legal obligations;
  • keep it secure, not disclose it to unauthorised third parties, and not use it for unrelated marketing or any other purpose without a lawful basis and the Buyer's consent where required;
  • comply with the Law of the Republic of Uzbekistan "On Personal Data" and other applicable data-protection law, including obligations relating to the processing and localisation of personal data of citizens of Uzbekistan; and
  • delete or stop using the data when it is no longer needed for the order, unless the law requires you to retain it.

How Dona itself processes personal data is described in the Privacy Policy. If your handling of Buyer data causes a breach, you are responsible for it and will notify us promptly at hello@dona.uz.

12. Prohibited Seller Practices

The following are prohibited and may lead to immediate action against your account:

  • Counterfeit or unlawful goods: selling counterfeit, stolen, unsafe, prohibited or restricted items (see the Prohibited & Restricted Items Policy).
  • Fake reviews and manipulation: creating, buying or incentivising fake reviews, ratings, orders or viewer/engagement metrics, or manipulating rankings or search.
  • Price manipulation and deception: bait pricing, hidden charges, false discounts, false scarcity, or advertising a price you do not honour at checkout.
  • Off-platform circumvention: diverting Buyers off-platform to avoid commission, fees, buyer protection or these terms, or soliciting off-platform payment for on-platform orders.
  • Fraud and abuse: identity fraud, payment fraud, self-dealing, multiple accounts to evade limits, or abuse of promotions, coins or reward vouchers.
  • Harmful conduct: harassment, deception or unsafe activity in streams or chat, or breach of the Acceptable Use Policy, Community Guidelines or Safety & Harmful Content Policy.

13. Performance Standards and Metrics

To keep the marketplace trustworthy, you are expected to meet reasonable performance standards, which we publish and may update in the Seller dashboard. These may include:

  • order fulfilment and on-time hand-over rates;
  • cancellation, defect and return rates;
  • response times to Buyer messages and complaints;
  • valid tracking and accurate order-status updates; and
  • Buyer ratings and review quality.

We monitor these metrics to protect Buyers and the platform. Persistent underperformance, high complaint or return rates, or repeated policy breaches may result in reduced visibility, feature limits, warnings, suspension or termination. We will act proportionately and, where practicable, give you notice and an opportunity to improve or explain.

14. Suspension and Termination

You may stop selling and close your Seller account at any time, subject to completing open orders, resolving pending refunds, returns, chargebacks and disputes, and settling any amounts owed.

We may suspend, restrict or terminate your Seller account or specific listings, with or without prior notice depending on the severity and the requirements of law, where:

  • you breach this Agreement or any referenced policy;
  • your conduct or goods create legal, safety, fraud, or reputational risk;
  • verification (KYC) fails or information is false; or
  • required by law, a court, or a competent authority.

Effect of termination

15. Liability and Indemnity

As between you and Dona, you are responsible for your products, listings, live content, statements, fulfilment and after-sales service, and for all claims arising from them.

You agree to indemnify and hold harmless GreenApps and Dona from and against claims, damages, losses, fines and reasonable costs arising out of: your breach of this Agreement or applicable law; your products or content; your infringement of third-party rights; your handling of Buyer data; and any consumer or regulatory claim relating to your sales.

To the maximum extent permitted by law, Dona provides the platform "as is" and is not liable to you for indirect or consequential losses, or for loss of profit, revenue or goodwill; and Dona's aggregate liability to you is limited to the extent permitted by applicable law. Nothing in this section limits any liability that cannot be limited or excluded under the law of the Republic of Uzbekistan, or affects Buyers' mandatory consumer rights.

16. Changes to this Agreement

We may update this Agreement and the policies referenced in it to reflect changes in our service, operations, or the law. When we make a material change, we will notify you by a reasonable means — for example in the app or Seller dashboard, by the contact details on your account, or by posting the updated version with a new "last updated" date (the date shown above).

Changes to commission, fees and operational rules apply prospectively from their effective date and do not change orders already completed. If you continue to sell on Dona after a change takes effect, you accept the updated Agreement. If you do not accept a change, you should stop selling and may close your Seller account, subject to completing open orders and settling amounts owed.

17. Governing Law and Disputes

This Agreement is governed by the laws of Singapore, and the courts of Singapore have jurisdiction over disputes between you and GreenApps arising from it, except that the mandatory consumer-protection, electronic-commerce, payments and personal-data provisions of the Republic of Uzbekistan apply to users and Sellers in Uzbekistan and prevail where they conflict with this Agreement. Buyers' mandatory consumer rights, and the jurisdiction of the competent Uzbek courts and consumer-protection authority for consumer matters, are not affected.

Before pursuing formal proceedings, we encourage you to contact us so we can try to resolve the matter. Nothing in this section prevents you or a Buyer from bringing a claim before the competent authority or court of the Republic of Uzbekistan where the law so provides.

We aim to respond within a reasonable time. This Agreement is provided in Uzbek, Russian and English; the English version is authoritative, while your mandatory rights under the law of the Republic of Uzbekistan continue to apply.
